Rejection of Contract - On this clause WIPRO suggests that both parties should have the right of rejection. (I)Either party shall have the right to terminate this Agreement at any time :

B. With Cause - in the event that the other party commits a material breach of the Agreement and fails to cure such default to the non-defaulting party's reasonable within thirty(30) days.3.10.2 Effect of termination : Upon expiration or termination of this Agreement all rights and benefits granted by this Agreement shall revert to the respective parties; and all amounts due to Wipro upto the effective date of termination shall be immediately payable. In the event of termination by Wipro, Wipro will effect prorata refund of advance sums paid to Wipro, for the unutilized period. However in the event of Wipro having back-end contracts with its Principals where Wipro has paid or is liable to pay any amounts to the Principals, GRIDCO shall not be entitled to such refund. |

Assignment of Subcontracting : Due to some organizational policies regarding qualification and minimum wage, we may not be able to deploy core Wipro employees for some low and support, thus would like to request GRIDCO to allow for delivering a particular Service to GRIDCO on behalf of Wipro through Wipro representatives. Wipro shall remain fully responsible for the franchisee employees and these employuees will not be employees of GRIDCO. GRIDCO would have the right to instruct Wipro to change the franchisee or skilled workers in case the conduct or because of non-performance in expected services delivery. A reasonable curative period shall be allowed by GRIDCO for replacement of manpower. The franchisee would be reporting to the Wipro Project Manager. |
